Client Platform Access Agreement (CPAA)

1. DevResponse Platform Overview

• Services Provided: DevResponse offers a software platform that connects businesses with independent contractors ("Professionals") providing professional services.
• Platform Components:
  • Website: https://www.devresponse.com
  • Technology Platform: Matches Professionals with clients.
  • Content: Includes software, data, reports, text, and more.
• Matching Services: Facilitate connections but exclude the work performed by Professionals.
• No Obligation: Clients are not required to engage Professionals, and Api Networks makes no guarantees.

2. Acceptance of Terms

• Binding Agreement: By using the platform, you agree to this CPAA.
• Updates: Api Networks may modify the CPAA and notify users by updating the website.
• Account Creation: Users must provide accurate information and protect account credentials.

3. Restrictions and Confidentiality

• Confidentiality: Users must protect DevResponse proprietary information.
• Non-Solicitation: Clients agree not to hire Professionals outside of DevResponse for 12 months.
• Use Limitations: Users cannot reverse-engineer or compete with the platform.

4. General Use Conditions

• Authorized Use: Access is limited to evaluating DevResponse services.
• Prohibited Actions: Unauthorized access or competitive use is prohibited.
• Monitoring and Consent: DevResponse may monitor and record user activity for quality assurance.
• Ownership: DevResponse retains ownership of all intellectual property.

5. Intellectual Property

• User Content: Users grant DevResponse a license to use content they post.
• Feedback: Suggestions or ideas submitted to DevResponse become its sole property.

6. Representations and Warranties

Users represent that their content is lawful and they are at least 18 years old.

7. Termination

This CPAA remains in effect as long as you use the platform, but confidentiality and liability terms will survive termination.

8. No Warranties

Api Networks Inc provides its platform "as is" and "as available," without any warranties.

9. Limited Liability

Api Networks is not liable for indirect, incidental, or consequential damages. Liability is capped at $1.00.

10. Dispute Resolution

The agreement is governed by British Columbia (Canada) law, with disputes resolved exclusively in British Columbia (Canada) courts. Both parties waive the right to a jury trial.

11. Miscellaneous

Notices must be sent to the specified email and mailing address. Modifications require written agreement from both parties.
